Terms of Service

The rules that govern your use of NaijaSocialHub

These Terms of Service ("Terms") form a legal agreement between you and NaijaSocialHub. Please read them carefully. By using our platform, you confirm you are at least 13 years old and agree to be bound by these Terms.

1. Acceptance of Terms

→By creating an account, accessing, or using NaijaSocialHub (naijasocialhub.com), you agree to be bound by these Terms of Service, our Privacy Policy, and our Community Guidelines (collectively, the "Agreement").
→If you do not agree to every provision in this Agreement, you must not access or use the platform.
→We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Continued use of NaijaSocialHub after changes are posted constitutes your binding acceptance of the revised Terms.
→You must be at least 13 years old to create an account. If you are under 18, you represent that you have obtained parental or guardian consent to use the platform.
→These Terms apply to all users, including visitors, registered members, content creators, group owners, and advertisers.

2. Account Registration & Security

→You must provide a valid email address, create a secure password, and provide accurate registration information. You agree to keep this information up to date.
→You are solely responsible for all activity that occurs under your account, including any actions taken by third parties who gain access to your account through your negligence.
→You may not create multiple accounts for the purpose of evading bans, manipulating rankings, artificially inflating engagement, or circumventing platform limits. Detection of coordinated inauthentic activity will result in termination of all associated accounts.
→You must keep your login credentials confidential. NaijaSocialHub will never ask for your password via email or direct message. Report any suspected unauthorized access to [email protected] immediately.
→Anonymous identities (animal + city combinations) are permanently assigned, cryptographically tied to your account, and non-transferable. Attempting to manipulate, change, or trade anonymous identities is prohibited.
→You may not sell, rent, lease, or transfer your account or any rights under your account to any third party.

3. User Content & Licensing

→You retain full ownership of all original content you post, upload, or otherwise make available on NaijaSocialHub ("User Content").
→By posting User Content, you grant NaijaSocialHub a non-exclusive, royalty-free, worldwide, sublicensable license to host, display, reproduce, modify (for formatting purposes only), distribute, and promote your User Content solely in connection with operating, developing, and promoting the NaijaSocialHub platform. This license ends when you delete your content or your account, except to the extent your content has been shared by other users or is required for legal compliance.
→You represent and warrant that: (a) you own or have obtained all necessary rights to the User Content you post; (b) your User Content does not infringe any third party's intellectual property, privacy, or publicity rights; and (c) your User Content complies with our Community Guidelines and applicable law.
→NaijaSocialHub does not endorse, verify, or guarantee the accuracy, completeness, or usefulness of any User Content. You acknowledge that you may be exposed to content that is offensive, inaccurate, or objectionable, and you agree that NaijaSocialHub shall not be liable for any such content.
→We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion, with or without notice, for any reason including violation of this Agreement.
→Opinions expressed in User Content are those of the individual authors and do not reflect the views of NaijaSocialHub or its affiliates.

4. The Rank, Earnings & Community Wealth Pool System

→Rank points are calculated algorithmically based on your engagement score as described on our How It Works page. Points are non-transferable, non-purchasable, and have no cash value independent of the earnings system.
→Earnings credited to your NaijaSocialHub wallet represent real monetary value owed to you by NaijaSocialHub, subject to the terms and conditions of this Agreement, including withdrawal minimums and daily earning caps.
→All user earnings are funded exclusively from the Community Wealth Pool — a dedicated allocation of 50% of NaijaSocialHub's gross platform revenue (including but not limited to advertising, sponsorships, promoted content, and partnerships). NaijaSocialHub commits to maintaining this 50% allocation as a permanent feature of the platform, but reserves the right to adjust individual earning rates and daily caps at any time, with or without notice, to ensure the long-term sustainability and solvency of the Community Wealth Pool.
→Earnings rates and daily caps are not fixed guarantees. They function like a floating currency — they may increase as platform revenue grows, or be adjusted downward if user growth outpaces revenue growth. You acknowledge and accept that your per-action earnings may fluctuate.
→Wallet balances earned through legitimate engagement belong to you. However, NaijaSocialHub reserves the right to reverse, deduct, or forfeit earnings obtained through fraudulent activity, coordinated manipulation, refund abuse, or violation of this Agreement. In cases of permanent account termination for serious violations (as defined in Section 9), any remaining wallet balance may be forfeited at NaijaSocialHub's discretion.
→Withdrawal requests are generally processed within 48 business hours. NaijaSocialHub is not liable for delays caused by banking partners, payment processors (including but not limited to Paystack and Monnify), regulatory compliance checks, or force majeure events.
→Viral airtime bonuses are discretionary promotional rewards and may be modified, replaced, or discontinued at any time without prior notice. Past bonus payments do not guarantee future eligibility.
→NaijaSocialHub wallet balances do not constitute a bank account, e-wallet, or financial service regulated by the Central Bank of Nigeria. Funds in your NaijaSocialHub wallet are a contractual obligation of NaijaSocialHub to you, not a deposit held by a licensed financial institution.

5. Paid Groups, Subscriptions & Creator Earnings

→Group creators who operate paid (subscription-based) groups may charge members a recurring fee for access. Creators set their own subscription price in Naira and choose a billing duration of 7 days (weekly) or 30 days (monthly).
→NaijaSocialHub retains a platform commission on each paid group subscription as published on the How It Works page (the "Group Commission Rate"). The Group Commission Rate is subject to change with 30 days' notice. The creator receives the remainder, credited to their NaijaSocialHub wallet.
→All subscription payments are processed through Monnify, a licensed Nigerian payment gateway. By creating or subscribing to a paid group, you agree to Monnify's terms of service and acknowledge that NaijaSocialHub does not directly handle or store your payment card or bank details.
→Subscriptions auto-expire at the end of each billing period. Members must renew to maintain access. Creators are responsible for delivering the content, value, and community experience promised to their subscribers.
→Refund Policy: Subscription payments are generally non-refundable. However, if a creator materially misrepresents the nature of their paid group, or if NaijaSocialHub determines that a group was used for fraudulent purposes, NaijaSocialHub may, at its sole discretion, issue a refund. Refund requests must be submitted within 7 days of the disputed charge to [email protected].
→NaijaSocialHub reserves the right to suspend or terminate any paid group that violates this Agreement, engages in fraudulent activity, or generates an excessive number of subscriber disputes. In such cases, creators may forfeit unpaid earnings from that group.
→Creators are solely responsible for any tax obligations arising from subscription income earned through NaijaSocialHub. NaijaSocialHub does not withhold taxes on creator earnings unless required by Nigerian law.

6. Prohibited Uses

→Using the platform to commit fraud, operate scams, solicit money under false pretenses, or engage in any form of financial crime
→Attempting to reverse-engineer, decompile, scrape, extract, or download platform data (including user content, user data, or proprietary algorithms) via automated means without prior written authorization
→Selling, renting, leasing, or transferring your account or anonymous identity to another person
→Using the platform to distribute malware, viruses, ransomware, phishing links, spyware, or any other harmful code
→Engaging in any activity that violates the laws of the Federal Republic of Nigeria or applicable international law
→Circumventing, disabling, or attempting to bypass rate limits, security measures, content filters, or access restrictions
→Using NaijaSocialHub to stalk, harass, intimidate, or threaten any person, on or off the platform
→Creating accounts using temporary or disposable email addresses for the purpose of spamming, trolling, or ban evasion
→Using bots, scripts, or automated tools to post content, generate engagement, or simulate human activity on the platform
→Collecting, harvesting, or storing personal data about other users without their explicit consent

7. Advertising & Sponsored Content

→NaijaSocialHub displays third-party advertisements across the platform. Ad placement is based on available inventory and placement targeting, not personal behavioral tracking.
→NaijaSocialHub is not responsible for the content, accuracy, or claims made in third-party advertisements. Any dealings between you and an advertiser, including payment and delivery of goods or services, are solely between you and the advertiser.
→Advertisers are bound by separate Advertising Terms and must comply with Nigerian advertising standards and regulations. NaijaSocialHub reserves the right to reject or remove any advertisement at its sole discretion.
→Users may see placeholder or "house" ad slots when no third-party advertiser has booked that placement. These placeholders promote NaijaSocialHub features or display community content.
→Sponsored content or promoted posts placed by advertisers will be clearly labeled as such. NaijaSocialHub does not allow undisclosed paid promotion by users.

8. Intellectual Property Rights

→The NaijaSocialHub name, logo, brand identity, domain name (naijasocialhub.com), and all related branding elements are the exclusive intellectual property of NaijaSocialHub and may not be used without prior written permission.
→The platform software, source code, database schemas, algorithms (including the trending algorithm), design elements, and all non-user-generated content displayed on NaijaSocialHub are owned by or licensed to NaijaSocialHub and are protected by Nigerian and international intellectual property laws.
→NaijaSocialHub respects the intellectual property rights of others. If you believe your copyrighted work has been posted on NaijaSocialHub without authorization, you may submit a takedown notice to [email protected] containing: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material with sufficient detail to locate it; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that the information in your notice is accurate.
→NaijaSocialHub will respond to valid takedown notices within 14 business days and may remove or disable access to allegedly infringing material pending investigation.
→The "Community Wealth Pool" model and the 50% revenue share structure are original business innovations of NaijaSocialHub protected as trade secrets and proprietary business methodology.

9. Data Protection & Privacy (NDPR Compliance)

→NaijaSocialHub collects, processes, and stores personal data in compliance with the Nigeria Data Protection Regulation (NDPR) 2019 and any successor legislation including the Nigeria Data Protection Act.
→By using NaijaSocialHub, you consent to the collection and processing of your personal data as described in our Privacy Policy. You have the right to: access your data, request correction of inaccurate data, request deletion of your data (subject to legal retention requirements), restrict or object to processing, and data portability.
→Requests to exercise your data rights should be sent to [email protected]. We will respond within 30 days as required by NDPR.
→NaijaSocialHub implements appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction. However, no method of electronic storage or transmission over the internet is 100% secure.
→In the event of a data breach that poses a risk to your rights and freedoms, NaijaSocialHub will notify affected users and the appropriate regulatory authority within 72 hours of becoming aware of the breach, as required by applicable law.
→NaijaSocialHub does not sell personal data to third parties. We do not engage in behavioral advertising based on personal data profiles. Our advertising model is based on contextual placement, not personal targeting.

10. Disclaimers & Limitation of Liability

→NAIJAHUB IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
→We do not warrant that the platform will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. We do not warrant that defects will be corrected.
→NaijaSocialHub is not liable for the accuracy, legality, decency, or appropriateness of any User Content, third-party advertisement, or external link posted on the platform.
→TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAIJAHUB, ITS FOUNDER, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
→OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT EARNED BY YOU THROUGH NAIJAHUB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ₦50,000 (FIFTY THOUSAND NAIRA).
→The limitations of liability in this section shall apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if NaijaSocialHub has been advised of the possibility of such damage.
→Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

→You agree to indemnify, defend, and hold harmless NaijaSocialHub, its founder, officers, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
→(a) Your use of the platform, including any User Content you post, upload, or transmit;
→(b) Your violation of these Terms, our Community Guidelines, or any applicable law or regulation;
→(c) Your violation of any third-party right, including intellectual property, privacy, or publicity rights;
→(d) Any dispute between you and another user, advertiser, or third party;
→(e) Any fraudulent, misleading, or deceptive activity conducted through your account.
→NaijaSocialHub reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims. You shall not settle any claim without NaijaSocialHub's prior written consent.

12. Account Termination & Suspension

→You may delete your account at any time through your account Settings. Account deletion is irreversible. Upon deletion, your public posts may remain visible (anonymized) at NaijaSocialHub's discretion, but your personal data will be handled in accordance with our Privacy Policy.
→NaijaSocialHub may, at its sole discretion and without prior notice: (a) suspend your account temporarily pending investigation; (b) restrict your access to specific features; (c) terminate your account permanently; or (d) remove specific content — for any violation of this Agreement, our Community Guidelines, or for conduct that we determine, in our judgment, is harmful to the platform, its users, or its reputation.
→Grounds for termination include but are not limited to: violation of our Community Guidelines, fraudulent activity, coordinated inauthentic behavior, harassment of other users, failure to comply with Nigerian law, or creating a risk of legal liability for NaijaSocialHub.
→Upon termination: (a) your right to access the platform ceases immediately; (b) your User Content may be removed or retained in anonymized form; (c) any active paid group subscriptions you hold as a member will not be refunded; (d) any paid group you operate as a creator will be suspended and your subscribers will lose access.
→Earnings in your wallet at the time of a permanent ban for serious violations (fraud, scamming, CSAM, hate speech, coordinated manipulation) may be forfeited at NaijaSocialHub's sole discretion. Earnings from legitimate activity on accounts terminated for lesser violations will be paid out subject to the withdrawal minimum.
→You may appeal any moderation action by emailing [email protected] within 14 calendar days of the action. Appeals must include your username and a clear explanation of why you believe the action was incorrect. NaijaSocialHub will review appeals within 14 business days. Appeal decisions are final.

13. Third-Party Services & Integrations

→NaijaSocialHub integrates with third-party services including but not limited to: Monnify (subscription payments), Paystack (wallet withdrawals), Google (Maps, Trends, and Search APIs), Giphy (GIF content), and Pexels (stock imagery).
→Your use of these third-party services through NaijaSocialHub is subject to their respective terms of service and privacy policies. NaijaSocialHub does not control and is not responsible for the availability, accuracy, or security of third-party services.
→NaijaSocialHub shall not be liable for any loss, damage, or delay caused by the failure, unavailability, or malfunction of any third-party service or integration.
→Links to external websites or resources on NaijaSocialHub are provided for convenience only. NaijaSocialHub does not endorse and is not responsible for the content, products, or services available on such external sites.

14. Electronic Communications & Consent

→By creating an account, you consent to receive communications from NaijaSocialHub electronically, including via email, in-app notifications, and platform announcements.
→You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
→You may opt out of promotional emails by using the unsubscribe link in any such email, but you cannot opt out of service-related communications (such as account notices, security alerts, or changes to these Terms).
→NaijaSocialHub may send SMS or push notifications for account-related alerts where you have opted in. Standard carrier data/messaging rates may apply.

15. Modifications to the Platform

→NaijaSocialHub is constantly evolving. We reserve the right to modify, suspend, or discontinue any aspect, feature, or functionality of the platform at any time, with or without notice, without liability to you.
→This includes the right to: add or remove features; change the user interface; modify the points, rank, or earnings structure (subject to the Community Wealth Pool commitment); adjust withdrawal minimums; change supported payment methods; and add or remove content categories.
→We will make reasonable efforts to provide advance notice of significant changes that materially affect user earnings or withdrawal rights.

16. Force Majeure

→NaijaSocialHub shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action or regulation, pandemic/epidemic, internet or telecommunications failure, power outage, cyber attack (including DDoS), or failure of third-party service providers.
→In the event of a force majeure condition, NaijaSocialHub will make reasonable efforts to restore service as soon as practicable. No refunds or compensation will be provided for service interruptions caused by force majeure events.

17. Severability & Waiver

→If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
→No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition. Any failure by NaijaSocialHub to assert a right or enforce a provision under this Agreement shall not constitute a waiver of such right or provision.
→The section titles in these Terms are for convenience only and have no legal or contractual effect.

18. Entire Agreement

→These Terms of Service, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and NaijaSocialHub concerning your use of the platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and NaijaSocialHub.
→No agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship is created by this Agreement.
→Any ambiguities in the interpretation of this Agreement shall not be construed against the drafting party.

19. Governing Law & Dispute Resolution

→These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
→Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be attempted to be resolved through informal negotiation. You agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days before initiating any formal proceeding.
→If informal resolution fails, disputes shall be submitted to mediation in Lagos, Nigeria, conducted in English, before a mutually agreed mediator. If mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria, 2004), with the seat of arbitration in Lagos.
→Notwithstanding the foregoing, NaijaSocialHub reserves the right to seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the infringement or misappropriation of our intellectual property rights, without first engaging in the informal dispute resolution process.
→All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
